Terms of Service

1. Acceptance of Terms

By accessing, browsing, or using the HanaWeb platform ("Service"), operated by Hana, Inc. ("Company," "we," "us," or "our"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms") and our Privacy Policy, which is incorporated herein by reference.

You must be at least 16 years of age to use the Service. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you must not access or use the Service.

2. User Accounts and Registration

To access certain features of the Service, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials, including your password, and for all activities that occur under your account.

You agree to notify us immediately of any unauthorized use of your account or any other breach of security. We are not liable for any loss or damage arising from your failure to protect your account credentials.

You must keep your account information accurate and up to date. We reserve the right to suspend or terminate accounts that contain inaccurate or incomplete information.

Each individual may maintain only one personal account. Creating multiple accounts to circumvent restrictions, abuse promotions, or for any deceptive purpose is strictly prohibited.

3. Description of Service

HanaWeb is a software-as-a-service (SaaS) platform that enables merchants to manage brands, organize events, sell tickets, process payments, manage customer relationships, and operate their businesses online. Consumers may use the Service to discover events, purchase tickets, manage memberships, and interact with merchant brands.

We strive to maintain the availability of the Service but do not guarantee uninterrupted access. We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice, for maintenance, upgrades, or any other reason.

The features available to you may vary depending on your account type, subscription plan, and the specific brand or merchant you are interacting with.

4. Merchant Responsibilities

Merchants who use the Service to manage brands, sell tickets, or offer products and services assume additional responsibilities beyond those of general users.

Merchants are solely responsible for the accuracy, legality, and appropriateness of all content they publish, including event descriptions, pricing, images, and promotional materials. Merchants must ensure compliance with all applicable local, state, national, and international laws and regulations governing their events and business activities.

Merchants are responsible for fulfilling all obligations to consumers arising from ticket sales, event registrations, and product purchases made through the Service, including providing refunds in accordance with their stated policies and applicable consumer protection laws.

Merchants must handle consumer data obtained through the Service in accordance with our Privacy Policy and all applicable data protection laws. Merchants may not use consumer data for purposes unrelated to the transaction or relationship for which it was collected without obtaining explicit consent.

5. Payment Terms

The Service uses Stripe, a PCI DSS Level 1 certified payment processor, to handle all payment transactions. We do not store, process, or have access to your complete payment card information at any time.

Prices for tickets, products, and services are set by the respective merchants and displayed in the applicable currency at the time of purchase. All prices are inclusive or exclusive of applicable taxes as indicated at checkout.

Refund policies are determined by each merchant and should be reviewed before completing a purchase. We facilitate the refund process through our platform but are not responsible for individual merchant refund decisions.

Certain features of the Service may require a paid subscription. Subscription fees are billed in advance on a recurring basis according to the billing cycle selected at the time of purchase. You may cancel your subscription at any time, and cancellation will take effect at the end of the current billing period.

If you believe a charge is incorrect or unauthorized, you should first contact the merchant directly. If the issue cannot be resolved, you may contact us at support@hanaweb.com for assistance.

6. User Content and Intellectual Property

You retain all ownership rights to content you create, upload, or submit through the Service ("User Content"). By submitting User Content, you grant the Company a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, distribute, display, and perform your User Content solely in connection with operating and providing the Service.

You represent and warrant that your User Content does not violate any third party's intellectual property rights, privacy rights, or other legal rights, and that it complies with these Terms and all applicable laws. You are solely responsible for your User Content and the consequences of posting it.

We reserve the right, but have no obligation, to review, monitor, or remove User Content at our sole discretion, including content that we determine violates these Terms, is objectionable, or may expose the Company to legal liability.

Any feedback, suggestions, or ideas you provide to us regarding the Service may be used by us without any obligation to compensate you, and we will own all rights to such feedback.

7. Company Intellectual Property

The Service, including its original content, features, functionality, design, source code, and underlying technology, is owned by Hana, Inc. and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not copy, modify, distribute, sell, lease, reverse engineer, decompile, or create derivative works based on the Service or any part thereof without our prior written consent. The Hana and HanaWeb names, logos, and all related product and service names, design marks, and slogans are trademarks of Hana, Inc.

8. Prohibited Activities

You agree not to engage in any of the following prohibited activities while using the Service:

  • Violating any applicable local, state, national, or international law, regulation, or ordinance
  • Impersonating any person or entity, or falsely stating or misrepresenting your affiliation with any person or entity
  • Interfering with, disrupting, or creating an undue burden on the Service or the networks and servers connected to the Service
  • Attempting to gain unauthorized access to any part of the Service, other accounts, computer systems, or networks connected to the Service
  • Using any automated means, including bots, scrapers, or crawlers, to access, collect, or extract data from the Service without our express written permission
  • Uploading, transmitting, or distributing any viruses, malware, spyware, or other harmful or malicious code
  • Sending unsolicited communications, promotions, or advertisements, or engaging in any form of spam
  • Engaging in any fraudulent activity, including creating false accounts, purchasing tickets with fraudulent payment methods, or manipulating event attendance data
  • Harassing, threatening, intimidating, or bullying any other user of the Service
  • Attempting to circumvent any security measures, access controls, or usage limitations of the Service

9. Third-Party Services and Links

The Service may contain links to or integrate with third-party websites, services, or applications that are not owned or controlled by the Company. These include, but are not limited to, payment processing (Stripe), cloud infrastructure, email delivery, and AI-powered features.

We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party services. Your use of third-party services is governed by their respective terms of service and privacy policies. We encourage you to review those terms before engaging with third-party services accessed through the Service.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not warrant the accuracy, reliability, or completeness of any content on the Service, including content provided by merchants. Any reliance on such content is at your own risk.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HANA, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.

Our total aggregate liability for all claims arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the amount you paid to us in the twelve (12) months preceding the claim, or (b) one hundred U.S. dollars ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Hana, Inc. and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; (d) your violation of any rights of another party; or (e) your violation of any applicable law or regulation.

13. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. You may terminate your account at any time by contacting us or using the account settings within the Service.

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification obligations, and limitations of liability.

Following termination, we may retain your data for a reasonable period as necessary to comply with our legal obligations, resolve disputes, and enforce our agreements. You may request deletion of your personal data in accordance with our Privacy Policy.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue resolution through binding arbitration or in the courts located in San Francisco County, California.

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

15. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last Updated" date at the top of this page and, where appropriate, provide additional notice such as an email notification or an in-app announcement.

Your continued use of the Service after any changes to these Terms constitutes your acceptance of the revised Terms. If you do not agree with the updated Terms, you must stop using the Service.

16. General Provisions

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Hana, Inc. regarding the Service and supersede all prior agreements, representations, and understandings.

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by the Company.

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
